These constitute the Guidelines and Terms of Use (the "Terms") of the Facebook page of First Republic Bank and its affiliates (collectively, "First Republic"). By using or accessing First Republic's Facebook page, you agree to be bound by these Terms as well as all other applicable policies, guidelines and terms posted by First Republic and/or Facebook. As used in these Terms, "we," "our," and "us" refer collectively to First Republic.
1. CLIENT/CUSTOMER SERVICE AND CONFIDENTIALITY
As always, we pride ourselves on providing excellent customer service. Please note, however, that our Facebook page is not a substitute channel for services, products or general questions. If you are a client and need assistance with any of your accounts or our products and services, please contact our Customer Care Center at 1-888-408-0288, Mon Fri 5AM – 9PM, Sat 6AM – 8PM, Sun 7AM – 5PM Pacific Time, and we will be happy to assist you. If you contact us regarding any customer service related matters via our Facebook page we may divert you to other First Republic channels to assist you as quickly and efficiently as possible.
Please remember that our Facebook page is public and anyone can see your comments, posts and other content. As such, never disclose account or other financial information or any personal information through Facebook. Privacy and confidentiality of our clients is of the utmost importance to First Republic. We will never ask for your account information, social security number, or any other personal or sensitive information from you through Facebook. Any comments, postings or disclosures you make on Facebook, including without limitation, the First Republic page, are subject to Facebook's control, terms of use and disclosures including data use and privacy.
2. RESPONSE TIME
We will make every effort to respond to comments and posts in a timely manner. However, please note that our First Republic Facebook page is not monitored 24 hours/7 days a week and responses will take place during normal business hours. In addition, we may not reply to every post or comment provided on our page.
3. THIRD-PARTY RELATIONSHIPS
Facebook.com is owned by a third party unaffiliated with First Republic. We are not responsible for the actions or omissions of any third party (including without limitation Facebook) or for privacy or security policies or terms of any third-party (including without limitation Facebook) at this site or any third-party site that may be linked by this page or other Facebook.com pages. We do not endorse and are not responsible for any third-party material on this page or other Facebook.com pages, such as ads, content, products, opinions, advice, recommendations or any other material contained on third-party sites or other pages on Facebook. First Republic does not and cannot control the actions of its Facebook page users, visitors or linked or other third parties. Any and all third-party posts do not reflect the views of First Republic. Nothing herein shall be deemed to create an agency, partnership, joint venture, employee-employer or franchisor-franchisee relationship of any kind between First Republic and you or any other person or entity.
4. CONTENT GUIDELINES AND LIMITATION OF ACCESS
Content submitted to the First Republic page is subject to the approval of First Republic based on these Terms as well as all other applicable First Republic's policies. We encourage and expect posts and comments to be polite and respectful and consistent with these Terms. You agree that you will not submit, upload, transmit or otherwise make available any content, comments or posts that we deem to be objectionable, including without limitation, the following:
a. unlawful, profane, stalking, harmful, threatening, abusive, attacking, discriminatory, hateful, harassing, tortuous, denigrating, vulgar, obscene, pornographic, libelous, invasive of another's privacy, false information, rumors, inflammatory, discriminatory or otherwise objectionable or unrelated;
b. any content or otherwise participating in any activity that is prohibited by law in any applicable jurisdiction, including laws governing the encryption of software, data privacy or protection, the export of technology, the transmission of obscenity, copyright law, or the permissible uses of intellectual property;
c. files that contain video, images, software, or other material protected by intellectual property or right of privacy / publicity laws, including, by way of example, copyright or trademark laws, unless you own or control the rights thereto or have received all necessary consents to submit such materials to this page;
d. trade secrets, or confidential or non-public information about publicly-traded securities or other financial instruments;
e. any content that you do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, or proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
f. any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other form of solicitation or any self-promotion; and/or
g. any material that contains software viruses, Trojan horses, worms, time bombs, corrupted files, or any other computer code, files or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment, or that may damage or interfere with the operation of another's computer or property of another.
YOU FURTHER AGREE THAT YOU WILL NOT:
a. attempt to gain unauthorized access to any accounts, computer systems or networks, through hacking, phishing, password mining or any other means;
b. impersonate any person or entity, falsely state or otherwise misrepresent your affiliation with a person or entity, collect or store personal data about other users in connection with the prohibited conduct and activities;
c. violate, intentionally or unintentionally, any applicable local, state, national or international law, these Terms, or Facebook's policies and procedures;
d. provide material support or resources (or to conceal or disguise the nature, location, source, or ownership of material support or resources) to any organization(s) designated by the United States government as a foreign terrorist organization pursuant to section 219 of the Immigration and Nationality Act;
e. use any material or information in any manner that infringes any copyright, trademark, patent, trade secret, or other proprietary right of any party;
f. use or post on our Facebook page if you are under the age of 13.
g. forge headers or otherwise manipulating identifiers (including URLs) in order to disguise the origin of any materials, or deleting or altering any attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other uploaded material; and/or
h. collect personal information about others, including e-mail addresses or other personal information.
We encourage and hope that anyone using our Facebook page remain on topic and relevant. While we always welcome ideas and ways that we might improve our customer experience as well as our Facebook page, we may delete off-topic or irrelevant negative comments that do not add to the First Republic Facebook experience. First Republic is under no obligation to post or use any content submitted by you or anyone else and we reserve the right to refuse to post and/or remove any user content, including without limitation, the right to refuse to post or to remove the above-referenced objectionable content, comments or posts and any other content, comments or posts that we deem to be objectionable. We reserve the right to modify any content, functionality and features of the First Republic Facebook page. Further, we may shut down this page and limit or deny access to all or part of this page at any time, for any reason, without notice, without any liability to you.
First Republic has no responsibility or liability for the deletion or failure to store any data or other content maintained or transmitted by others on our Facebook page. However, First Republic may, in its sole discretion, preserve content and may disclose it, especially in the event it is required to do so by law or judicial or governmental mandate or as determined by us to protect the rights, property or personal safety of the public.
5. COPYRIGHT AND INTELLECTUAL PROPERTY MATTERS
You acknowledge and agree that by submitting any content to our Facebook page that you warrant and represent that you are the owner of the content or otherwise have the right to use the content, including any and all intellectual property interests, in such manner. Please note that by posting such content (including without limitation comments, posts, photos, videos, ideas, text, artwork) you are granting us a non-exclusive, transferable, irrevocable, sub-licensable, royalty-free, worldwide license to use and display any content provided by you, and to permit others to use and display, for any purpose, any such content, and any ideas, concepts, know-how and techniques contained in such content. Copyright and other intellectual property rights in the First Republic-provided content is owned by First Republic unless otherwise indicated. You may not remove, reverse engineer or modify any copyright, trademark, or other proprietary content or notices or infringe on any party's copyright, patent, trademark, trade secret, intellectual property, or other proprietary rights, or right of publicity or privacy. Any violation of such intellectual property rights is your sole responsibility.
6. DISCLAIMER OF LIABILITY AND INDEMNIFICATION
First Republic will not be responsible or liable, directly or indirectly, in any way for any loss or damage of any kind incurred as a result of, or in connection with, your use of the First Republic Facebook page or your failure to comply with these Terms or any other applicable policies or procedures.
You shall indemnify, defend, and hold harmless First Republic, and its officers, employees and agents, from any and all losses, injuries, liabilities, damages, fines, penalties, costs and expenses including reasonable attorneys' fees, resulting from claims made by any third party due to or arising out of your acts or omissions, including claims arising out of your use of the First Republic Facebook page, your submissions, postings, or transmission on the First Republic Facebook page, your violation of any policies or rules governing the First Republic Facebook page, or your violation of any rights of another.
7. ADDITIONAL INFORMATION DISCLAIMER
First Republic cannot guarantee, and is not responsible or liable for, the accuracy or completeness of content or information posted by users on its Facebook page. First Republic disclaims any and all representations and warranties, express or implied, as to user content contained on its Facebook page. First Republic will not be liable for any loss or injury caused in whole or in part by procuring, storing, compiling, interpreting, reporting, making available or maintaining user content.
No content or comments made by First Republic, its employee, agents or any user should be understood or used as the basis of any investment or financial decision, nor should they be construed as advice, endorsements or recommendations. Our Facebook page is not an offer to sell or a solicitation of any offer to buy any financial products of First Republic or any other issuer or company.
8. SPECIAL GUIDELINES FOR FIRST REPUBLIC EMPLOYEE USE
If you are an employee of First Republic you represent, warrant and agree to follow the First Republic Social Media Policy and all other applicable policies, including without limitation, those policies and guidelines relating to identification of yourself as an employee and certain restrictions pertaining to employees maintaining securities licenses.
9. OTHER AGREEMENTS
These Terms are in addition to and do not nullify any other agreement(s) between you and First Republic, including without limitation, to any agreement regarding your use of any websites maintained by First Republic. Termination or modification of these Terms will not affect, or result in the termination or modification of, any such other agreements.
10. SEVERABILITY
If any provision of these Terms is held unenforceable, the validity or enforceability of the remaining provisions will not be affected, and the unenforceable provision will be replaced with an enforceable provision that comes closest to the intention underlying the unenforceable provision.
11. GOVERNING LAW
Your relationship with First Republic with respect to these Terms shall be governed by the laws of the State of California without regard to its conflict of law provisions.
In the event there is deemed to be any information on our Facebook page regarding services and products then such information is applicable only in jurisdictions where such services and products may lawfully be offered for sale and is void where prohibited by law. If you access our Facebook page from outside of the United States, you are responsible for compliance with local, national, and international laws.
12. CHANGES
We reserve the right to add, delete or modify the features and functionality to our Facebook page. Furthermore, we reserve the right to revise, update or modify these Terms or other policies at any time and without prior notice, by posting the revisions on our Facebook page.
